Terms of Service — OMNI-SYS S.R.L.

1. About These Terms

These Terms of Service govern the relationship between OMNI-SYS S.R.L. (CUI 54181445, Nr. Reg. Comerț J2026014918007), registered at Str. Avram Iancu, Bl. 43, Et. 3, Ap. 20, Târgoviște, Romania ("OMNI-SYS", "we", "us") and any individual or organisation ("Client", "you") that engages our services or uses this website.

By engaging OMNI-SYS for services or submitting an enquiry through this website, you agree to these terms.

2. Services

OMNI-SYS provides IT infrastructure services including, but not limited to, network design and implementation, server infrastructure, cloud integration, managed IT services, and IT consulting. The specific scope, deliverables, timelines, and fees for each engagement are defined in a separate written agreement or statement of work signed by both parties.

3. Proposals and Contracts

All proposals issued by OMNI-SYS remain valid for 30 days from the date of issue unless otherwise stated. A proposal does not constitute a binding contract. Work commences only upon execution of a written agreement or purchase order accepted by OMNI-SYS.

4. Payment

Payment terms are specified in each individual agreement. Unless otherwise agreed, invoices are due within 30 days of issue. OMNI-SYS reserves the right to suspend services for overdue accounts. Late payments may incur statutory interest as provided under Romanian law.

5. Client Responsibilities

The Client agrees to:

Provide accurate information and timely access to systems and personnel necessary for delivery
Maintain adequate backups of all data before any OMNI-SYS work begins
Notify OMNI-SYS promptly of any changes in requirements or constraints

6. Limitation of Liability

OMNI-SYS shall not be liable for indirect, incidental, or consequential damages arising from the provision of services. Our total liability for any claim shall not exceed the total fees paid for the specific engagement giving rise to the claim.

7. Intellectual Property

Unless otherwise agreed in writing, the Client owns all deliverables produced specifically for them upon full payment. OMNI-SYS retains ownership of its pre-existing tools, methodologies, and templates.

8. Confidentiality

Both parties agree to keep confidential all non-public information exchanged in connection with the engagement and not to disclose such information to third parties without prior written consent, except as required by law.

9. Governing Law

These terms are governed by the laws of Romania. Any disputes shall be subject to the exclusive jurisdiction of the courts of Dâmbovița County, Romania.
